1. Agreement to Terms

By accessing or using the Marchant Research website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Marchant Research provides software development, consulting, and technical advisory services. The specific terms, deliverables, timelines, and pricing for any project will be outlined in a separate agreement or statement of work between Marchant Research and the client.

3. Intellectual Property

Unless otherwise specified in a project agreement, upon full payment, clients receive ownership of the custom code and deliverables created specifically for their project. Marchant Research retains ownership of pre-existing tools, libraries, and methodologies used in the development process.

The Marchant Research name, logo, and website content are protected by intellectual property laws and may not be used without our written permission.

4. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for the project
• Respond to requests and provide feedback in a timely manner
• Make payments according to the agreed schedule
• Obtain any necessary rights or licenses for content provided to us

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of a project. This includes business strategies, technical specifications, and any other information marked as confidential.

6. Limitation of Liability

Marchant Research provides services on an "as is" basis. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service giving rise to the claim.

7. Termination

Either party may terminate a project agreement with written notice as specified in the project contract. Upon termination, the client shall pay for all work completed up to the termination date.

8. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable laws.

9. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify clients of any material changes. Continued use of our services after changes constitutes acceptance of the new terms.
